1. Platform Overview & Definitions
1.1 What Pyrafluence Is
Pyrafluence is a transparent, ethical marketplace connecting content creators with brands for sponsored social media collaborations. We facilitate agreements, handle payments, and ensure both parties fulfill their obligations.
1.2 Key Definitions
- "Etiquette"
- The overall business relationship and contract between a Promoter and Creator. Think of it as the "master agreement" or "project container."
- Contains: parties involved, pricing, timelines, payment status, overall collaboration status
- Tracked through: 3 distinct phases from negotiation to completion
- One Etiquette = One complete collaboration from start to finish
- "Campaign"
- The specific creative brief and content requirements within an Etiquette. Think of it as the "work order" or "creative spec."
- Contains: campaign goals, brand guidelines, key messages, content requirements
- Created by: Promoter in Phase 2 (after payment is confirmed)
- Guides: what content the Creator will produce
Etiquette #123 = The business deal between Nike and @FitnessGuru for $500
Campaign (within Etiquette #123) = Nike's brief: "Create 60-second YouTube video showcasing Air Max shoes, emphasize comfort and style, target runners aged 18-35"
- "Creator" (also "Influencer")
- Content creator with social media presence who produces sponsored content
- "Promoter" (also "Brand")
- Business or individual hiring creators for promotional campaigns
- "Platform" or "Pyrafluence"
- This service, operated by Pyrafluence Inc.

- The actual creative work (video, post, story, etc.) produced by the Creator

- When Creator posts the final approved content on their social media

2. Eligibility & Account Types
2.1 Age Requirements
You must be at least 18 years old to use Pyrafluence.
Legal contracts require parties to be adults. Sponsored content regulations require mature judgment about product promotion.
We verify:
- Date of birth during signup
- Government ID for high-value accounts ($5,000+)
2.2 Creator Account Requirements
To become a Creator, you must have:
- Active social media account on at least one supported platform (YouTube, Instagram, TikTok, Twitter)
- Genuine, organic audience (no fake followers)
- Content history demonstrating real engagement
- Legal right to monetize content on your platform
- Compliance with platform's creator/partner programs
Platform-Specific Requirements:
- YouTube: Must be eligible for monetization (follow YouTube Partner Program policies)
- Instagram: Professional or Creator account type
- TikTok: Must be 18+, meet TikTok Creator Fund eligibility
- Twitter: Account in good standing, no active violations
2.3 Promoter Account Requirements
To become a Promoter, you must:
- Represent a legitimate business, brand, or organization
- Have legal authority to enter promotional agreements
- Provide valid business contact information
- Have financial capability to pay for campaigns
- Comply with advertising laws in your jurisdiction

- β Entities engaged in illegal activities
- β Unregistered pyramid schemes or MLMs

2.4 Account Restrictions
One Account Per Person/Entity:
- Each individual Creator may have ONE account
- Each business entity may have ONE Promoter account
- Same person cannot have both Creator and Promoter accounts simultaneously
- Exception: Agency accounts (contact us for multi-user access)
- Multiple accounts = Immediate termination of all accounts
- Circumventing suspensions = Permanent IP ban
- Account sharing = Suspension of all parties
3. Account Registration & Verification
3.1 Creator 3-Step Verification Process
Step 1: Basic Account Creation
- Choose unique username (3-20 characters, alphanumeric + underscore)
- Provide valid email address
- Create strong password (minimum 8 characters, mix of upper/lower/numbers)
- Agree to Terms of Service and Privacy Policy
Step 2: Social Media Verification
- Link at least one social media account
- Provide direct URL to your profile
- Submit current statistics (followers, average views, engagement)
- Verify ownership (we may request verification via post or story)
Step 3: Profile Completion
- Add profile picture
- Write bio (50-500 characters)
- Select content categories (e.g., fitness, tech, lifestyle)
- Set minimum campaign rate (optional but recommended)
Approval Timeline:
1-3 business days for manual review
We Approve Based On:
- β Real, active social media accounts

We Reject Based On:

3.2 Promoter Verification
Required Information:
- Company legal name
- Business registration number (for companies)
- Business contact email
- Company website (if applicable)
- Industry/business type
- Intended use (brand awareness, product launch, etc.)
Approval Criteria:
- Legitimate business entity
- Verifiable contact information
- Industry compliance (not on prohibited list)
- No history of payment fraud
- Alignment with platform values
Enhanced Verification (Optional but Recommended):
- Business registration documents
- Proof of domain ownership
- LinkedIn company page
- Tax ID verification
- Featured badge
- Higher trust score
- Access to premium creators
4. Understanding Etiquettes vs. Campaigns
4.1 The Etiquette: Your Business Agreement
An Etiquette is the legal contract between Creator and Promoter containing:
Business Terms:
- Parties involved (specific Creator account + Promoter)
- Agreed price (negotiated final amount)
- Payment schedule (when Promoter pays, when Creator gets paid)
- Timeline (delivery window, deadlines)
- Platform and content type
- Cancellation terms
- Dispute resolution process
Status Tracking:
- Current phase (1, 2, or 3)
- Completion percentage
- Who must act next ("waiting_for")
- Payment status
- Overall health of collaboration
- Think of Etiquette as:
- The binding handshake agreement governing the entire relationship for this specific collaboration.
4.2 The Campaign: Your Creative Work Order
A Campaign is the creative brief submitted by Promoter in Phase 2 containing:
Creative Requirements:
- Campaign goals (what you want to achieve)
- Success metrics (views, clicks, awareness, etc.)
- Expectations (what good content looks like for this campaign)
- Key messages (3-5 talking points to communicate)
- Call-to-action (specific action for audience)
- Brand guidelines (visual style, tone, what to avoid)
- Content deadline
- Additional notes and specifications
- Think of Campaign as:
- The detailed blueprint for what content to create, like a creative director's instructions.
4.3 Why This Distinction Matters
Legal Protection:
- Etiquette = Legally binding financial agreement
- Campaign = Creative specifications (can be revised within reason)
- Separating them protects both parties: financial terms are locked, creative direction can adapt
Clear Responsibilities:
- Etiquette defines WHO pays WHAT and WHEN
- Campaign defines WHAT content CREATOR makes and HOW
- No confusion about obligations
Dispute Prevention:
- Payment disputes reference the Etiquette terms
- Content disputes reference the Campaign brief
- Different resolution processes for each
Etiquette Agreement: Promoter agrees to pay Creator $1,000 for one Instagram Reel, due by March 15th.
Campaign Brief: Create a 30-second Reel showing the product in use, emphasizing eco-friendly features, target audience is millennials interested in sustainability.
Result: The $1,000 and March 15th deadline cannot change. But the creative direction (how to show the product, specific messaging) can be refined during the review process.
5. The Three-Phase Collaboration System
5.1 Phase 1: Negotiation & Payment (Etiquette Creation)

Step 4: Final Approval

- Receives: Agreed Campaign Price - 5% platform fee

- Total: 10% (5% from each party)

- Verifies available balance is accurate
- Checks for any pending disputes
- Confirms payment details are valid
- Validates account in good standing
3. Admin Processes Payment
- Timeline: 3-5 business days
- Sent via Creator's selected method
- Transaction fee covered by platform
4. Creator Receives Funds
- Bank transfer: 3-5 business days
- PayPal: 1-2 business days

Payment Methods for Creators:

6.5 Late Payment Consequences
Promoter Late Payment:
- After 48 hours: Creator notified, can cancel without penalty

- After 14 days: Creator keeps 50%, Promoter marked as high-risk
Creator Late Submission:
- After deadline + 7 days: Promoter can request timeline extension or cancel
- After deadline + 14 days: Promoter can cancel with 50% refund
- After deadline + 30 days: Automatic cancellation, full refund to Promoter
Admin Late Processing:
- Payment confirmations over 48 hours: We notify both parties
- Withdrawals over 5 days: We provide status update
- Extended delays: Compensation considered (platform credits)
6.6 Refund Policy
Full Refund to Promoter:
- Creator cancels before starting work (in Phase 1)
- Creator fails to publish within 30 days past deadline
- Creator account terminated before completion
- Content violates campaign brief and Creator refuses to fix
- Creator uses fake engagement or violates platform rules
Partial Refund (75%):
- Mutual cancellation after brief submitted but before draft
- Promoter never submits campaign brief (after 30 days)
- Platform error prevents campaign completion
Partial Refund (50%):
- Mutual cancellation after draft submitted
- Major disagreement during review cycles (admin mediated)
Partial Refund (25%):
- Promoter cancels after content approved
- Promoter fails to respond to draft submissions (30+ days)
- Promoter arbitrary dissatisfaction after publication
- Content performs below expectations (views, engagement)
- Market conditions change
- Promoter business strategy changes
- Content published as agreed with proper disclosures
Refund Processing:
- Timeline: 5-7 business days after approval
- Returned via original payment method
- Minus any payment processor fees (if applicable)
- Creator's pending earning automatically adjusted
6.7 Payment Disputes

- "Promoter didn't pay" (Creator claim)

- "Brief was impossible/misleading" (Creator claim)

Dispute Resolution Process:

Step 2: File Formal Dispute
Either party submits dispute to Admin

Step 3: Admin Investigation
- Reviews complete Etiquette history
- Reviews all messages and negotiations

Step 4: Admin Decision
Based on: Contract terms (Etiquette), campaign brief, evidence, platform policies
Possible Outcomes:
- Promoter favor: Full or partial refund, Creator warning/suspension
- Creator favor: Payment released, Promoter warning/suspension
- Split decision: Partial compensation to both parties
- No fault: Campaign cancelled, fair compensation based on work completed
Admin Decision Factors:
- Was campaign brief clear and reasonable?
- Did Creator follow brief specifications?
- Was content approved by Promoter?
- Were deadlines reasonable and met?
- Did either party act in bad faith?
- Were disclosures proper?
- Was performance within reasonable expectations?
Step 5: Appeal (Limited)
- Only if clear factual error in decision
- Must submit within 7 days
- Must provide new evidence or point out specific error
- Final decision within 14 days
- Final decision is binding

7. Ethical Content Standards
7.1 Platform Values & Mission
- Transparency: All sponsored content must be clearly disclosed

- Legal Compliance: All content follows FTC guidelines and platform policies
- Ethical Business: No manipulation, fraud, or bad faith practices

- YOU must defend us and pay any damages

- Past performance does not indicate future results
No Guarantees on Approval:
- Campaign approval is at platform discretion
- We may reject campaigns without detailed explanation
- We may terminate accounts for safety reasons
- Decisions are final
No Professional Advice:
- We are not lawyers, cannot provide legal advice
- We are not financial advisors
- We are not marketing consultants
- Consult your own professionals before making business decisions
14.4 Governing Law & Jurisdiction
Applicable Law:
- These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States
- Federal laws of the United States apply, including but not limited to:
- Federal Trade Commission Act (FTC Act)
- Digital Millennium Copyright Act (DMCA)
- CAN-SPAM Act
- Children's Online Privacy Protection Act (COPPA)
- Federal Arbitration Act (FAA)
- The UN Convention on Contracts for the International Sale of Goods does not apply
- Wyoming law applies without regard to conflict of law provisions
Exclusive Jurisdiction and Venue:
- Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming
- You irrevocably consent to the exclusive jurisdiction and venue of Wyoming courts
- You waive any objection to venue or jurisdiction in Wyoming
Dispute Resolution Framework:
For Disputes Under $5,000:
- May be filed in small claims court in Laramie County, Wyoming
- OR may proceed to arbitration (either party's choice)
- Small claims cases remain in small claims court unless both parties agree to arbitration
For Disputes Over $5,000:
- Binding arbitration required (subject to exceptions below)
- No court lawsuit permitted for disputes over $5,000 (except exceptions)
Mandatory Arbitration Agreement:
This arbitration agreement significantly affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your case. You are agreeing to resolve disputes through binding arbitration instead of in court.

- Rules: AAA Commercial Arbitration Rules and Consumer Arbitration Rules (where applicable)

- Location: Arbitration may be conducted:
- Via videoconference (if both parties agree), OR
- In Cheyenne, Wyoming, OR
- At a mutually agreed location
- Arbitrator Selection: Per AAA rules, one neutral arbitrator
- Discovery: Limited discovery as determined by arbitrator
- Decision: Arbitrator's decision is final and binding
- Award: Arbitrator may award any relief available in court
- Judgment: Award may be entered as judgment in any court of competent jurisdiction
Arbitration Costs:
- Filing Fees: Each party pays their own AAA filing fees
- Arbitrator Fees: Split equally between parties unless arbitrator rules otherwise
- Attorney Fees: Each party pays their own attorney fees unless arbitrator awards fees to prevailing party
- Consumer Protection: If you are a consumer and the arbitrator finds the arbitration was frivolous or brought for an improper purpose, you may be required to reimburse Pyrafluence's costs
Appeals:
- Arbitration decisions are final and binding
- Very limited right to appeal under Federal Arbitration Act
- Appeals only available for:
- Corruption, fraud, or undue means in obtaining the award
- Evident partiality or corruption of arbitrator
- Arbitrator exceeded their powers
YOU AND PYRAFLUENCE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING.
UNLESS BOTH YOU AND PYRAFLUENCE AGREE OTHERWISE, THE ARBITRATOR MAY NOT:
- Consolidate more than one person's claims
- Preside over any form of representative or class proceeding
- Award class-wide relief
YOU AND PYRAFLUENCE WAIVE ANY RIGHT TO A JURY TRIAL.
Exceptions to Arbitration:
The following disputes are NOT subject to arbitration and may be brought in court:
- Small Claims Court: Disputes under $5,000 may be filed in small claims court
- Injunctive Relief: Claims seeking emergency or preliminary injunctive relief
- Intellectual Property: Claims of copyright infringement, trademark infringement, or trade secret misappropriation
- Criminal Activity: Cases involving alleged criminal conduct
- Government Actions: Claims filed with government agencies (FTC, state attorneys general, etc.)
- Self-Help Remedies: Pyrafluence's right to suspend accounts, withhold payments, or terminate service for violations
Opt-Out Right (30 Days):
- You may opt out of this arbitration agreement within 30 days of creating your account
- To opt out, send written notice to: legal@pyrafluence.com with subject "ARBITRATION OPT-OUT"
- Include: Your name, username, email, and statement "I opt out of the arbitration agreement"
- If you opt out: All other terms still apply, disputes resolved in Wyoming courts
- Opt-out is not retroactive to past agreements
International Users - Additional Terms:
Mandatory Local Laws Apply:
Where you reside in a jurisdiction with mandatory consumer protection laws that provide greater rights than these Terms, those mandatory local laws apply to the extent required by law.
European Union Users:
- Subject to EU General Data Protection Regulation (GDPR)
- Subject to EU Consumer Rights Directive
- Right to file complaints with local data protection authority
- Access to EU Online Dispute Resolution platform: ec.europa.eu/odr

Conflicts Between Laws:
- Priority Order: (1) Mandatory local consumer protection laws, (2) US Federal law, (3) Wyoming state law, (4) These Terms
- If any term conflicts with mandatory local law, that local law prevails for users in that jurisdiction only
- All other terms remain in full force and effect
14.5 Severability & Entire Agreement
Severability:
- If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable
- If modification is not possible, the invalid provision shall be severed
- The remaining provisions shall continue in full force and effect
- Special Arbitration Severability: If the class action waiver is found unenforceable, the entire arbitration agreement is void, and disputes shall be resolved in Wyoming courts
Entire Agreement:
- These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Pyrafluence
- These Terms supersede all prior or contemporaneous negotiations, discussions, or agreements
- No amendment, modification, or waiver of any provision shall be effective unless in writing and signed by Pyrafluence
- Pyrafluence's failure to enforce any right or provision shall not constitute a waiver of that right or provision
Assignment:
- You may not assign or transfer these Terms or your account without Pyrafluence's written consent
- Pyrafluence may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets
- Any attempted assignment in violation of this section is void
Notices:
- To You: Notices sent to your registered email address or posted on the platform
- To Us: legal@pyrafluence.com or via certified mail to our registered agent in Wyoming
- Notices deemed received: Email (24 hours after sending), Postal mail (3 days after mailing)

15.1 Intellectual Property Rights
Platform IP (Pyrafluence Owns):
- Pyrafluence name, logo, branding
- Website design and code
- Matching algorithms
- Database structure
- All platform technology
User Content (You Own):
- Creators own content they create
- Promoters own their brand materials
- Users retain all copyrights
License to Pyrafluence:
You grant us limited license to:
- Display content on platform (portfolios, examples)
- Use in marketing (with permission)
- Archive for legal/dispute purposes
- Analyze for platform improvements (anonymized)
License Termination:
- Ends when you delete content
- Archive copies retained for legal compliance
- Marketing use requires ongoing permission
15.2 Content Ownership & Usage Rights
Creator-Promoter Content Licensing:
Default License (Unless Otherwise Specified in Campaign Brief):
- Promoter receives: Social media sharing rights, website embedding rights
- Duration: Perpetual (but Creator can request removal)
- Platforms: Social media only (not TV, print, etc.)
- Attribution: Must credit Creator
Extended Licensing (Must Be Explicitly Negotiated):
- TV/broadcast rights
- Print advertising
- Out-of-home (billboards, etc.)
- White-labeling or reposting as brand's own content
- Requires: Higher payment, explicit agreement in campaign brief
- Extended licensing requests
- Usage beyond social media
- Indefinite or perpetual rights
- Any usage not in original agreement
15.3 Confidentiality
What Is Confidential:
- Payment amounts (between you and platform only)
- Bank account and financial details
- Campaign briefs before publication
- Negotiation details
- Business strategies disclosed in messages
- Proprietary product information
What Is Public:
- Usernames and public profiles
- Completed campaign portfolio (with permission)
- Reviews and ratings
- Platform statistics (anonymized)
- Do not share other party's confidential information
- Do not screenshot private messages for public posting
- Do not disclose payment terms publicly (protect both parties)
- Violations = Account termination + legal action
15.4 Changes to Terms of Service

- We may suspend service for maintenance
- We may restrict access for security

- We do our best but cannot control third parties
